3. Services

3.1 Service Description

We provide business telecommunications services including but not limited to:

  • Business phone services and call routing setup
  • Connectivity coordination with network providers
  • Service management and ongoing support
  • Office moves and multi-site rollouts
  • Telecom health checks and provider comparisons

3.2 Service Delivery

Services will be provided as specified in the applicable quote or proposal. We will use reasonable endeavours to deliver services within agreed timescales, but timescales are estimates and not guaranteed unless explicitly stated in writing.

3.3 Third-Party Providers

Our services involve coordination with third-party telecommunications providers. We are not responsible for the performance, pricing, or terms of third-party services. Provider charges (lines, call charges, connectivity) are separate from our fees and are billed directly by the provider.

4. Quotes and Pricing

4.1 Quotations

All quotations are valid for 30 days unless otherwise stated. Prices are subject to change after this period.

4.2 Pricing

Our current pricing is available on our Pricing page. All prices are exclusive of VAT unless otherwise stated. VAT will be added at the applicable rate where required.

4.3 Additional Costs

Any work outside the scope of the original quote will be charged separately. We will inform you of additional costs before proceeding with any out-of-scope work.

5. Payment Terms

5.1 Invoicing

  • One-off services: Invoiced upon completion or as agreed
  • Monthly support plans: Invoiced monthly in advance
  • Project work: May be invoiced in stages as agreed

5.2 Payment Due

Payment is due within 14 days of invoice date unless otherwise agreed in writing.

5.3 Late Payment

We reserve the right to charge interest on overdue amounts at 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We may also suspend services if payment is overdue by more than 30 days.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information as required for service delivery
  • Respond promptly to requests for information or decisions
  • Provide reasonable access to systems, premises, or personnel as needed
  • Inform us of any changes that may affect service delivery
  • Pay invoices in accordance with these Terms

7. Intellectual Property

All intellectual property rights in materials we create for you (excluding third-party materials) will transfer to you upon full payment. We retain the right to use general knowledge and skills gained during the engagement.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation continues for 2 years after the end of our business relationship.

9. Limitation of Liability

9.1 Service Limitations

Our liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for any indirect, consequential, or special damages.

9.2 Exclusions

We are not liable for:

  • Failures or delays caused by third-party providers
  • Loss of data, revenue, or business opportunities
  • Issues arising from Client-provided information or decisions
  • Circumstances beyond our reasonable control (force majeure)

9.3 Nothing Excluded

Nothing in these Terms excludes our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

10.1 Monthly Support Plans

Either party may terminate a monthly support plan with 30 days' written notice.

10.2 Project Work

Either party may terminate project work with written notice. The Client will pay for all work completed up to the termination date.

10.3 Immediate Termination

We may terminate services immediately if the Client breaches these Terms or fails to pay invoices within 30 days of the due date.

11. Website Use

11.1 Acceptable Use

You may use our website for lawful purposes only. You must not use our website in any way that breaches applicable laws or regulations.

11.2 Website Content

While we endeavour to keep the information on our website accurate and up to date, we make no warranties about the completeness, reliability, or accuracy of this information.

12. Dispute Resolution

If a dispute arises, we will attempt to resolve it through good-faith negotiation. If we cannot resolve the dispute within 30 days, either party may refer the matter to mediation or, if necessary, the courts of England and Wales.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.

14. Changes to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with any applicable service agreement or quote, constitute the entire agreement between you and BITAMIN LTD regarding the subject matter herein.
